A comprehensive investigation and verification process conducted before entering a significant business transaction (M&A, investment, lending, major contract). In a typical M&A transaction, due diligence follows signing of a letter of intent (LOI) and NDAs, and precedes final SPA negotiation. The buyer sets up a data room — historically physical, now almost always a virtual data room (VDR) using platforms like Intralinks, Merrill DataSite, or Ansarada — where the seller uploads thousands of documents across legal, financial, HR, IT, and environmental workstreams. The process typically takes 4-12 weeks depending on deal complexity.

Financial due diligence focuses on quality of earnings (QoE) — verifying that reported EBITDA is sustainable and recurring, not inflated by one-time items or aggressive accounting. Working capital normalization is a critical negotiation point: the buyer needs to understand the "normal" level of working capital required to run the business to avoid a cash shortfall at closing. Net debt analysis ensures all debt-like items (pension liabilities, earn-outs, deferred revenue) are captured in the enterprise value-to-equity bridge.

For cross-border transactions involving emerging markets, compliance due diligence goes beyond standard KYB.
