In a typical M&A transaction, due diligence follows signing of a letter of intent (LOI) and NDAs, and precedes final SPA negotiation. The buyer sets up a data room — historically physical, now almost always a virtual data room (VDR) using platforms like Intralinks, Merrill DataSite, or Ansarada — where the seller uploads thousands of documents across legal, financial, HR, IT, and environmental workstreams. The process typically takes 4-12 weeks depending on deal complexity.

Financial due diligence focuses on quality of earnings (QoE) — verifying that reported EBITDA is sustainable and recurring, not inflated by one-time items or aggressive accounting.
