RCS Luxembourg

The Luxembourg Trade and Companies Register is the official public registry for all commercial entities established in Luxembourg. Managed by the Luxembourg Business Registers (LBR). Luxembourg is a major European financial center with ~300,000 registered entities, including a large number of SOPARFI holding companies, investment funds, and SPVs. RCS Luxembourg is integrated with GLEIF LEI data, providing comprehensive corporate transparency.

Luxembourg hosts the largest concentration of investment funds in Europe (second globally after the US), primarily UCITS and AIFs structured as SICAVs and SICAFs under Luxembourg law. Beyond funds, Luxembourg is the preferred European holding company jurisdiction for multinational groups — Arcelor Mittal, RTL Group, and Amazon Europe Holding Technologies are among the thousands of multinationals with holding structures in Luxembourg. Most are structured as SOPARFIs (Société de Participation Financière) or SAs.

The LBR (Luxembourg Business Registers) provides free online access to the RCS via rcsl.lu. Filings include: company statutes, annual accounts, director mandates, shareholder resolutions, and amendments. All registered documents are published in the RESA (Recueil Electronique des Sociétés et Associations), the Luxembourg equivalent of the French BODACC. Luxembourg's company data transparency has improved significantly following the EU 5th AMLD implementation.

For KYB professionals, Luxembourg presents unique challenges: many entities have nominee directors (professional directors sitting on hundreds of boards), opaque shareholder structures (often registered through Clearstream), and limited operational substance. The Luxembourg beneficial ownership register (RBE), accessible via lbr.lu, is the primary source for UBO data. SYNTA-IQ integrates GLEIF data for Luxembourg entities, providing LEI records, registration status, and parent-subsidiary mapping.
